Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Chengdu SoulPal Intelligence Technology Co., Ltd., a company established in Chengdu, China (“SoulPal,” “we,” “us,” or “our”). We operate the SoulPal brand and the website at
soulpal.co(the “Site”).By accessing or using the Site, creating an account, or using its interactive features, you agree to these Terms. If you do not agree, please do not use the Site.
1) Who we are
SoulPal is currently operated by Chengdu SoulPal Intelligence Technology Co., Ltd., a company based in Chengdu, China.
The Site currently provides product information, account features, a waitlist, and a free Pixel Pal experience. The SoulPal smart collar and the broader cozy pet game connected to your real pet are still in development. The Site does not currently sell the SoulPal collar or accept product orders or pre-orders.
2) Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will post the updated version, revise the effective date above, and provide any additional notice required by applicable law. Your continued use of the Site after the revised Terms become effective means you accept the updated Terms.
3) Privacy
Our collection and use of personal information is described in our Privacy Policy.
4) Eligibility
You must be at least 13 years old to use the Site. If you are under the age of majority where you live, you may use the Site only with the consent of your parent or legal guardian.
5) Waitlist and communications
If you deliberately join our waitlist or otherwise choose to receive product updates, we may contact you about SoulPal product progress, launches, events, and related communications through the channel you selected. Creating an account or using the free Pixel Pal experience does not by itself create marketing consent.
You can opt out of marketing emails using the unsubscribe link in the email or by contacting us at support@soulpal.co. Channel-specific choices and transactional messages are handled as described at the time you make the relevant choice and in our Privacy Policy.
6) Accounts and security
If you create an account on the Site, you are responsible for maintaining the security of your sign-in methods and for activity reasonably attributable to your account. Please notify us at support@soulpal.co if you believe your account has been used without permission. We may suspend or terminate access for security concerns, unlawful activity, or material violations of these Terms.
7) Acceptable use
You agree not to:
- Use the Site in a way that violates applicable law or regulation.
- Attempt to interfere with the Site’s operation or security, including by hacking, probing, introducing malware, or bypassing limits.
- Scrape, harvest, or collect information from the Site at scale without our permission.
- Misrepresent your identity or affiliation or impersonate another person.
- Upload content you do not have the right to use.
- Use the Site to send unsolicited or unauthorized advertising or spam.
8) User-provided content
If the Site allows you to submit content, such as pet photos, messages, or feedback, you retain ownership of that content.
For content submitted to use a Site feature, you grant SoulPal a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and display that content only as reasonably necessary to provide, secure, troubleshoot, and maintain the feature you requested. We will not use your pet photos in public marketing or community content without additional permission.
You represent that you have the right to submit the content and that doing so does not violate another person’s copyright, privacy, publicity, or other rights. We may remove content that violates these Terms or applicable law.
Retention, deletion, transfer and product-improvement use of submitted content are governed by the current Privacy Policy. No broader training or reuse right is granted by this section.
9) Intellectual property
The Site and its content, excluding user-provided content, are owned by SoulPal or its licensors and are protected by applicable intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Site except as permitted by law or with our written permission.
10) Future crowdfunding and purchases
The Site does not currently accept purchases or product pre-orders.
Any future crowdfunding campaign, pledge, purchase, or pre-order will be subject to the terms, disclosures, refund policy, estimated delivery information, and operating entity presented at the time of that transaction. Transactions completed through a third-party platform will also be subject to that platform’s terms.
Nothing on the current Site guarantees that a crowdfunding campaign will launch, that a reward or product will be delivered by a particular date, or that a refund will be available. Any future campaign will identify the eligible campaign entity, payment arrangement and transaction terms presented at that time.
11) Feedback
If you send us feedback, ideas, or suggestions, you allow SoulPal to use that feedback for product and service development without compensation to you. This does not give SoulPal ownership of your separate pet photos or other user-provided content.
12) International use and data transfer
SoulPal is operated from Chengdu, China and the Site may use service providers in other countries. The current locations, recipients, purposes, data categories, retention practices and user controls are described in our Privacy Policy.
Where applicable law requires additional notice, a transfer mechanism, or separate consent before personal information is transferred across borders, we will provide that notice and obtain that consent before the relevant transfer. This section does not treat ordinary use of the Site as blanket consent to every international transfer.
13) Third-party links and services
The Site may link to or rely on third-party websites or services. We do not control third-party content, policies, or practices. Your use of third-party services may be subject to their own terms and privacy policies.
14) No veterinary or medical advice
Information on the Site is for general informational purposes only and is not veterinary, medical, or health advice. SoulPal does not diagnose health conditions. Always seek advice from a qualified professional regarding your pet’s health.
15) Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOULPAL DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL ALWAYS BE AVAILABLE, ERROR-FREE, OR SECURE.
NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
16) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOULPAL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE.
Any limitation or monetary cap applies only to the extent enforceable under applicable law. Nothing in these Terms limits liability or consumer rights that cannot legally be limited in your jurisdiction.
17) Indemnification
To the extent permitted by applicable law, you agree to indemnify SoulPal against third-party claims arising directly from your unlawful use of the Site, your material violation of these Terms, or content you submit without the required rights. This section does not override mandatory consumer protections or require indemnification where prohibited by applicable law.
18) Termination
We may suspend or terminate your access if we reasonably believe you have materially violated these Terms or if doing so is necessary to protect the Site, users, or third parties. Where practicable, we will provide notice and a reasonable explanation.
19) Governing law and dispute resolution
These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles.
Before starting formal proceedings, you and SoulPal agree to make a good-faith effort to resolve the dispute by contacting each other. If the dispute cannot be resolved, it may be submitted to a court with competent jurisdiction at the place where SoulPal’s operating company is domiciled, unless mandatory law applicable to you requires otherwise.
Nothing in these Terms limits consumer rights or remedies that cannot legally be waived under the laws applicable to you. Additional governing-law, dispute and transaction terms may apply to future payments or crowdfunding and will be disclosed before the relevant transaction.
20) Miscellaneous
- Entire agreement: These Terms and the Privacy Policy form the agreement between you and SoulPal regarding the current Site, subject to any additional terms presented for a specific future transaction or service.
- Severability: If a provision is found unenforceable, the remaining provisions remain in effect to the extent permitted by law.
- No waiver: Failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment: Any future transfer of these Terms to a Hong Kong, U.S., or other entity must follow applicable law and any required user notice; registering a new entity does not automatically replace the current operating company.
